Terms of Service

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and StudPulse ("we", "our", or "us") governing your access to and use of the StudPulse platform — an AI-native horse management system for breeding, boarding, and stud management (the "Service").

By creating an account, accessing the Service, or clicking "I agree", you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, do not use the Service.

If you are accepting these Terms on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms.

2. Description of Service

StudPulse provides a cloud-based software-as-a-service (SaaS) platform that includes:

  • Horse profile management, medical records, training logs, and biometric tracking.
  • Stable and stall management, feed planning, and event scheduling.
  • Breeding cycle and pregnancy tracking with AI-assisted analytics.
  • An AI Barn Agent powered by a large language model (LLM) for voice and text-based farm administration.
  • A public Stud Directory for registered breeding stallions.
  • Booking and reservation management for services and resources.
  • Dashboard analytics, financial reporting, and training performance tracking.
  • Push notifications and progressive web app (PWA) functionality.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time, with reasonable notice where practicable.

3. User Accounts & Registration

To access the Service you must register for an account. You agree to:

  • Provide accurate, current, and complete registration information.
  • Maintain the security of your password and accept responsibility for all activity that occurs under your account.
  • Notify us immediately at support@studpulse.com of any unauthorised use of your account.
  • Not share your login credentials with any third party or permit multiple individuals to use the same account.
  • Be at least 16 years of age (EU/EEA) or 18 years of age (all other jurisdictions), or have verifiable parental or guardian consent where applicable law permits a lower age.

We reserve the right to suspend or terminate accounts that provide false information, violate these Terms, or engage in fraudulent activity.

4. Subscription Plans & Billing

The Service is offered under the following subscription tiers. Features and limits are as described on the pricing page at the time of purchase.

Billing: Subscription fees are billed in advance on a monthly or annual basis as selected at checkout. All fees are stated exclusive of applicable taxes (e.g., VAT). You are responsible for providing accurate billing information and for paying all applicable taxes.

Renewals: Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date. You may cancel at any time from your account settings.

Refunds: Subscription fees are generally non-refundable except where required by applicable law (including EU consumer law rights for consumers). For annual plans, we will consider pro-rata refund requests submitted within 14 days of initial purchase.

Price changes: We will provide at least 30 days' advance notice of any price increase before it takes effect on your next renewal.

5. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You must not:

  • Use the Service to store, transmit, or distribute unlawful, defamatory, fraudulent, or infringing content.
  • Attempt to gain unauthorised access to any part of the Service, its servers, or any third-party systems connected to it.
  • Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
  • Introduce malware, viruses, worms, or other harmful code.
  • Scrape, crawl, or use automated means to access the Service without our express written permission.
  • Use the Service to process data relating to individuals without a valid legal basis under applicable data protection law.
  • Resell, sublicense, or otherwise commercialise the Service without our written consent.
  • Use the AI Barn Agent to generate content that is misleading, harmful, or violates third-party intellectual property rights.

Violation of this policy may result in immediate suspension or termination of your account without refund.

6. AI Features & Limitations

The AI Barn Agent and other AI-powered features of the Service are provided as assistive tools. By using these features, you acknowledge and agree that:

  • Not professional advice: AI-generated content (including health alerts, breeding recommendations, training suggestions, and dashboard summaries) does not constitute veterinary, legal, financial, or other professional advice. Always consult a qualified professional before making decisions that affect animal health or welfare.
  • Human oversight required: All AI suggestions require human-in-the-loop validation. You are solely responsible for reviewing, validating, and acting upon any AI-generated output.
  • No guarantees of accuracy: AI models may produce inaccurate, incomplete, or outdated information. We do not warrant the accuracy or reliability of any AI-generated content.
  • Voice features: Voice transcription requires your explicit opt-in. You may disable voice features and delete transcripts at any time from the AI settings page.
  • EU AI Act compliance: The AI Barn Agent is classified as a Minimal/Limited Risk AI system under the EU AI Act. It does not perform biometric identification or produce legally binding decisions.

7. Intellectual Property

Our IP: The Service, including its software, design, trademarks, logos, and all content created by StudPulse, is owned by or licensed to StudPulse and protected by intellectual property laws. These Terms do not grant you any ownership rights in the Service.

Your data: You retain full ownership of all data, records, and content you input into the Service ("User Content"). By using the Service, you grant StudPulse a limited, non-exclusive, royalty-free licence to store, process, and transmit your User Content solely to provide the Service to you.

Feedback: If you provide suggestions or feedback about the Service, we may use that feedback without restriction or compensation to you.

AI-generated output: Outputs generated by AI features using your data are considered part of your User Content for the purposes of these Terms. We do not claim ownership over AI-generated outputs derived from your data.

8. Data & Privacy

Your use of the Service is subject to our Privacy Policy, which describes how we collect, use, and protect your personal data. Key points relevant to these Terms:

  • All application servers, databases, and AI processing are hosted exclusively within the European Union.
  • We do not sell your data to third parties.
  • You are responsible for ensuring you have a valid legal basis under GDPR (or applicable law) for any personal data you process using the Service, particularly data about your clients, employees, or boarders.
  • On termination of your subscription, you may export your data in JSON or CSV format for up to 90 days. After 90 days, your data will be permanently deleted.

9. Third-Party Services

The Service integrates with or depends upon third-party services including Google Analytics, Google Gemini AI API, and email delivery services. Your use of third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of third-party services.

The Stud Directory feature may display information about third-party breeding operations. We do not endorse, verify, or take responsibility for any listings, representations, or transactions between users and third-party studs.

10. Disclaimers & Limitation of Liability

As-is basis: The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

Limitation of liability: To the maximum extent permitted by applicable law, StudPulse's total liability to you for any claims arising under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the event giving rise to the claim.

Consequential damages: In no event shall StudPulse be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, or loss of goodwill, even if we have been advised of the possibility of such damages.

Consumer rights: Nothing in these Terms limits or excludes any rights you may have as a consumer under applicable law that cannot be excluded or limited, including statutory rights under EU consumer protection law.

11. Indemnification

You agree to defend, indemnify, and hold harmless StudPulse and its officers, directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from: (i) your use of the Service in violation of these Terms; (ii) your User Content; (iii) your violation of any applicable law or third-party right; or (iv) any dispute between you and a third party in connection with your use of the Service.

12. Termination

By you: You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You may also request immediate account deletion by contacting support@studpulse.com.

By us: We may suspend or terminate your account immediately, without notice, if you materially breach these Terms, engage in fraudulent activity, or if we are required to do so by law. We may also terminate the Service with 30 days' notice if we cease operations. In such a case, we will provide you with a pro-rata refund of any prepaid fees.

Effect of termination: On termination, your right to access the Service ceases immediately. Sections 7, 9, 10, 11, 13, and 15 of these Terms survive termination.

13. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the Republic of Poland and, where applicable, the laws of the European Union, without regard to conflict of law principles.

EU consumers: If you are a consumer resident in the European Union, you also benefit from the mandatory protections of the consumer law of the country in which you reside. Nothing in these Terms affects your right to rely on those protections or to bring proceedings before your local courts.

Online Dispute Resolution: The European Commission provides an online dispute resolution (ODR) platform for consumers at ec.europa.eu/consumers/odr. Our contact email for ODR purposes is support@studpulse.com.

Informal resolution: Before initiating any formal proceedings, we encourage you to contact us at support@studpulse.com to attempt to resolve any dispute informally. We will endeavour to respond within 14 days.

14. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and notify you by email or a notice within the application at least 30 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Service and cancel your subscription before the effective date.

These Terms and any disputes arising from them are subject to the jurisdiction of the courts of the Republic of Poland, without prejudice to your rights as a consumer under the law of your country of residence.
